1. Introduction
Connexigh is an online multi-vendor marketplace operated in Ghana that connects local and regional vendors with buyers. These Terms & Conditions govern your use of the Connexigh platform, website (connexigh.com), and all related services.
By accessing or using Connexigh, you confirm that you have read, understood, and agree to be bound by these terms. These terms form a legally binding agreement between you and Connexigh under the Electronic Transactions Act, 2008 (Act 772) of Ghana and other applicable laws.
If you are using the platform on behalf of a business, you confirm that you are authorised to enter into this agreement on behalf of that business, and that references to “you” include both you and the business entity.
If you do not agree to these terms, please do not use the platform.
2. Registration & Account
To buy or sell on Connexigh, you must register for an account. By registering, you confirm that:
- All information you provide is accurate, current, and complete.
- You are at least 18 years old, or have the consent of a parent or legal guardian.
- You will keep your login credentials secure and not share your account with others.
- You will notify us immediately if you suspect any unauthorised use of your account.
Connexigh reserves the right to suspend or terminate accounts that provide false information, violate these terms, or engage in conduct harmful to other users or the platform. You are responsible for all activity that occurs under your account, whether or not you authorised it.
3. Terms of Sale
Connexigh provides the platform through which vendors list products and buyers make purchases. Connexigh is not a party to the contract of sale between buyer and vendor — that contract is formed directly between the buyer and the relevant vendor.
The following conditions apply to all transactions on the platform:
- Product prices must include all applicable taxes unless clearly stated otherwise.
- Any additional fees (shipping, handling, etc.) must be disclosed to the buyer before checkout.
- A binding contract is formed when a buyer completes payment for an order.
- Vendors must not cancel confirmed orders except in genuine circumstances of stock unavailability, and must notify the buyer promptly.
- Under the Sale of Goods Act, 1963 (Act 137), all goods sold must correspond to their description, be of satisfactory quality, and be fit for purpose.
4. Vendor Obligations
All vendors registered on Connexigh agree to the following obligations:
- List only products that are legal, accurately described, and available for sale in Ghana.
- Maintain sufficient stock to fulfil orders accepted through the platform.
- Process and dispatch orders within the timeframes communicated to buyers at point of sale.
- Respond to buyer enquiries and dispute notifications within 48 hours.
- Not list counterfeit, stolen, prohibited, or misrepresented goods under any circumstances.
- Comply with all applicable Ghanaian laws including consumer protection, food safety, and import/export regulations where relevant.
- Not solicit buyers to transact off-platform to circumvent Connexigh’s fees or policies.
- Provide accurate banking or mobile money details for payouts and notify Connexigh promptly of any changes.
- Agree to Connexigh’s commission structure and payout schedule as communicated at registration or as updated from time to time.
Failure to meet these obligations may result in account suspension, listing removal, or permanent termination without compensation for lost earnings.
5. Buyer Obligations
Buyers using Connexigh agree to:
- Provide accurate and complete shipping, contact, and payment information when placing orders.
- Make full payment at the time of purchase through the platform’s approved payment channels.
- Use the platform’s dispute resolution process for any issues with orders before seeking external remedies.
- Not engage in fraudulent chargebacks, abuse of refund policies, or false claims against vendors.
- Inspect goods upon delivery and raise any concerns within the applicable return window.
6. Returns & Refunds
Refund and return requests are subject to the individual vendor’s return policy, which must be displayed clearly on their store page. Connexigh encourages all vendors to offer fair and transparent return terms consistent with consumer rights under Ghanaian law.
Where a product is significantly not as described, defective, or not delivered, buyers may raise a formal dispute within 7 days of the expected or actual delivery date through their account dashboard. Connexigh will review the dispute and make a determination in its reasonable discretion.
Connexigh may, at its discretion, facilitate refunds in cases of confirmed vendor fault. However, Connexigh does not guarantee refunds on behalf of vendors and is not the seller of record for transactions on the platform.
7. Payments
All transactions on Connexigh are processed through secure third-party payment providers including Paystack. By making a payment, you agree to the terms and conditions of the relevant payment processor. Connexigh does not store your card or bank details.
Prices on the platform are displayed in Ghana Cedis (GHS) unless otherwise stated. Connexigh is not responsible for any currency conversion fees or charges levied by your bank or payment provider.
Vendor payouts are processed according to Connexigh’s payout schedule after deduction of applicable commission fees. Connexigh reserves the right to withhold payouts pending resolution of active disputes or investigations into suspected fraudulent activity.
8. Your Content
You retain ownership of any content you upload to the Connexigh platform, including product images, descriptions, store logos, and reviews. However, by uploading content, you confirm that:
- You own the content or have the right to use and share it.
- The content does not infringe any third-party intellectual property rights.
- The content is accurate, not misleading, and complies with these terms and applicable law.
- The content does not contain offensive, defamatory, adult, or illegal material.
Connexigh reserves the right to remove any content that violates these terms or that is deemed inappropriate, without notice or liability.
9. Licence to Use Your Content
By uploading content to the Connexigh platform, you grant Connexigh a non-exclusive, worldwide, royalty-free licence to use, display, reproduce, and distribute that content for the purposes of operating, marketing, and promoting the platform and its vendors. This licence ends when you remove the content from the platform, except where Connexigh has already used it in published materials.
10. Acceptable Use of the Platform
The following activities are strictly prohibited on Connexigh:
- Listing or selling illegal, counterfeit, hazardous, stolen, or prohibited products.
- Harassment, abuse, or threatening behaviour toward other users, vendors, or Connexigh staff.
- Attempting to solicit off-platform transactions with users met through Connexigh.
- Creating multiple accounts to abuse promotions, bypass suspensions, or manipulate reviews.
- Submitting false or misleading reviews or ratings.
- Using automated bots, scrapers, or crawlers on the platform without written consent from Connexigh.
- Uploading malicious code, viruses, or any software intended to disrupt platform operations.
- Engaging in any form of fraud, identity theft, or misrepresentation.
11. Intellectual Property
All content on the Connexigh platform — including logos, branding, design, software, and text — is the property of Connexigh or its licensors and is protected under applicable Ghanaian and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any platform content without express written permission from Connexigh.
If you believe any content on the platform infringes your intellectual property rights, please contact us through our Contact page with full details of your claim.
12. Data Privacy
Connexigh collects and processes personal data in accordance with our Privacy Policy, which forms part of these Terms & Conditions. By using the platform, you consent to the collection and use of your data as described in the Privacy Policy.
Your data is processed in accordance with the Data Protection Act, 2012 (Act 843) of Ghana and applicable international standards.
13. Due Diligence & Audit Rights
Connexigh reserves the right to conduct due diligence on vendors and their listed products at any time. This may include:
- Requesting proof of business registration, tax identification, or relevant licences.
- Requesting product documentation, certificates of authenticity, or import permits.
- Conducting test purchases to verify product quality and vendor fulfilment standards.
- Reviewing transaction records, communications, and account activity for compliance with these terms.
Vendors agree to cooperate fully with any due diligence requests within a reasonable timeframe. Failure to cooperate or provide requested documentation may result in account suspension pending investigation.
14. Connexigh’s Role
Connexigh operates solely as a technology platform facilitating transactions between independent vendors and buyers. Connexigh is not the seller, manufacturer, or supplier of any products listed on the platform unless explicitly stated.
Connexigh does not endorse, warrant, or guarantee the quality, safety, legality, or fitness for purpose of any products listed by vendors. Buyers transact with vendors at their own risk, subject to the protections afforded by these terms and applicable Ghanaian law.
Connexigh may, at its discretion, intervene in disputes between buyers and vendors as a neutral mediator, but such intervention does not create any liability on Connexigh’s part for the outcome of the underlying transaction.
15. Limitation of Liability
To the fullest extent permitted by law, Connexigh shall not be liable for:
- Any indirect, incidental, special, or consequential loss arising from your use of the platform.
- The quality, safety, legality, or fitness of products sold by vendors.
- Delays or failures in delivery caused by vendors or third-party logistics providers.
- Any loss arising from unauthorised access to your account due to your own negligence.
- Platform downtime, technical errors, or interruptions beyond Connexigh’s reasonable control.
- Loss of business, revenue, or profits arising from your use of or inability to use the platform.
Connexigh’s total aggregate liability to you in connection with any claim arising from your use of the platform shall not exceed the value of the relevant transaction giving rise to the claim.
16. Indemnification
You agree to indemnify, defend, and hold harmless Connexigh, its directors, officers, employees, agents, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:
- Your use of or access to the platform.
- Your breach of these Terms & Conditions.
- Your violation of any third-party rights, including intellectual property or privacy rights.
- Any product you list or sell through the platform.
- Any false, misleading, or inaccurate information you provide on the platform.
Connexigh reserves the right to assume exclusive control of any matter subject to indemnification by you, in which case you agree to cooperate fully with Connexigh’s handling of the claim.
17. Breach of Terms
If you breach any provision of these Terms & Conditions, Connexigh may, at its sole discretion, take one or more of the following actions depending on the nature and severity of the breach:
- Issue a formal warning to your registered email address.
- Temporarily suspend your account pending investigation or resolution.
- Permanently terminate your account and remove all associated listings or content.
- Withhold any pending earnings or refunds until the matter is resolved.
- Report the matter to relevant Ghanaian law enforcement or regulatory authorities.
- Pursue civil legal action to recover any losses suffered by Connexigh or other users as a result of your breach.
You must not attempt to circumvent any suspension or restriction by registering a new account, using another person’s account, or by any other means. Connexigh reserves the right to take action against any account found to be associated with a suspended user. Connexigh’s decision on any breach matter is final unless successfully challenged through a formal dispute process.
18. Entire Agreement
These Terms & Conditions, together with the Privacy Policy and any other policies, guidelines, or notices published on the Connexigh platform, constitute the entire agreement between you and Connexigh regarding your use of the platform. These terms supersede all prior discussions, representations, or agreements between you and Connexigh on the same subject matter. No verbal or informal agreement shall be binding on Connexigh unless confirmed in writing by an authorised representative.
In the event of any conflict or inconsistency between these Terms & Conditions and any other document or communication issued by Connexigh, these Terms & Conditions shall take precedence unless expressly stated otherwise in writing.
19. Changes to These Terms
Connexigh reserves the right to update, amend, or replace these Terms & Conditions at any time. When changes are made, the revised version will be published on this page with an updated “last updated” date. For significant changes that materially affect your rights or obligations, Connexigh will make reasonable efforts to notify registered users by email or by displaying a prominent notice on the platform. Your continued use of the Connexigh platform after any changes have been posted constitutes your acceptance of the updated terms. We recommend reviewing this page periodically.
20. Governing Law & Jurisdiction
These Terms & Conditions are governed by and construed in accordance with the laws of the Republic of Ghana, including but not limited to the Electronic Transactions Act, 2008 (Act 772), the Sale of Goods Act, 1963 (Act 137), and the Data Protection Act, 2012 (Act 843).
Any disputes arising from or in connection with these terms, or your use of the Connexigh platform, shall be subject to the exclusive jurisdiction of the courts of Ghana. Connexigh and you agree to attempt to resolve disputes amicably before initiating formal legal proceedings.
21. Company Details & Notices
Connexigh is operated in Ghana. All formal legal notices must be submitted in writing through our Contact page. Notices sent to users will be delivered to the registered email address associated with your account.
If any provision of these Terms & Conditions is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
